Perpetua Resources Receives Indication for up to $1.8 Billion Financing from Export-Import Bank of the United States for Stibnite Gold Project

Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) announced that it received a Letter of Interest (“LI”) from the Export-Import Bank of the United States (“EXIM”) for potential debt financing of up to $1.8 billion through EXIM’s “Make More in America” and “China and Transformational Exports Program” (CTEP) initiatives.


Letter of Interest indicates potential financing could provide 15 year repayment tenor under EXIM’s Make More In America initiative and may be eligible for special consideration under the China and Transformational Exports Program.

Potential funding further supports the Stibnite Gold Project as an emerging national strategic asset for antimony production and demonstrates the role the Project can play in driving economic development.

A funding commitment is conditional upon completing the application, due diligence and underwriting process and receiving all required approvals.

(Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) announced that it received a Letter of Interest (“LI”) from the Export-Import Bank of the United States (“EXIM”) for potential debt financing of up to $1.8 billion through EXIM’s “Make More in America” and “China and Transformational Exports Program” (CTEP) initiatives.

EXIM’s communication to Perpetua states: “We are pleased to extend this Letter of Interest in support of the proposed capital funding plan by Perpetua Resources Idaho Inc. for the Stibnite-Gold Project. Based on the preliminary information submitted regarding expected U.S. exports and U.S. jobs supported by this project, EXIM may be able to consider potential financing of up to $1,800,000,000.00 of the project’s costs with a repayment tenor of 15 years under EXIM’s Make More in America initiative.”

“We are seeing a whole of government approach to bring antimony production home," said Jon Cherry, President and CEO of Perpetua Resources. "From EXIM's potential financing of up to $1.8 billion to the multiple Department of Defense's multi-million dollar awards to Perpetua, there is a profound recognition that we need domestic antimony production now. The EXIM debt funding could fund a substantial portion of the estimated costs to build the Stibnite Gold Project.”

Given China’s dominance over global antimony production, the Letter of Interest indicated the transaction may also be eligible for special consideration under Section 402 of EXIM's 2019 reauthorization (P.L. 116-94), which directs EXIM to take steps to mitigate the competitive impact of export support provided by the People's Republic of China and other covered countries for opportunities such as this one under EXIM's CTEP initiative.

Perpetua expects to submit a formal application to EXIM in 2024. Upon receipt of an application for financing, EXIM will conduct the due diligence necessary to determine if a final commitment may be issued. Any final commitment will be dependent on meeting EXIM's underwriting criteria, authorization process, finalization and satisfaction of terms and conditions. All final commitments must comply with EXIM policies as well as program, legal and eligibility requirements, including completion of the ongoing National Environmental Policy Act process which is expected to be completed by the end of the year.

Antimony trisulfide is essential to national defense as a key component for munitions and to clean energy technology applications, yet no domestic mined supply currently exists. China, Russia, and Tajikistan control 90 percent of the global antimony supply chain. Perpetua’s proposed Stibnite Gold Project is designed to re-establish a U.S. source of the critical mineral antimony as a by-product of one of the highest-grade open pit gold resources in the United States and to provide environmental restoration to the historical mining site.

Perpetua Resources Announces Sale of Silver Royalty for $8.5 Million in Proceeds

Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) announced today that it entered into a Royalty Agreement (the “Agreement”) with a wholly-owned subsidiary of Franco-Nevada Corporation (“Franco-Nevada”) pursuant to which Perpetua, through its subsidiaries, sold Franco-Nevada a royalty (“royalty”) on the future payable silver production from the Stibnite Gold Project in exchange for a cash payment of $8.5 million (the “upfront payment”).


Silver royalty proceeds complement the funding Perpetua has received through the Department of Defense to continue advancing permitting and construction readiness activities.

Silver represents less than 0.3% of projected life-of-mine revenue in the 2020 Feasibility Study

Highlights of the transaction:

  • $8.5 million upfront cash payment to Perpetua upon closing of the transaction

  • Franco-Nevada will receive all of the payable silver by-product revenue over the life-of-mine, subject to the terms of the Agreement

  • Silver represents less than 0.3% of projected life-of-mine revenue in the 2020 Feasibility Study

  • The additional liquidity provided from the upfront payment complements the funding that the company has secured through the U.S. Department of Defense

  • Perpetua intends to use the proceeds for general corporate purposes

During his tenure at PolyMet, the NorthMet project received the highest rating the Environmental Protection Agency has ever given to a mining project.  Additionally, Mr. Cherry played a leading role in negotiating a joint venture with Teck Resources before PolyMet’s sale to Glencore. Perpetua’s proposed Stibnite Gold Project (the “Project”) is designed to re-establish a U.S. source of the critical mineral antimony as a by-product of one of the highest-grade open pit gold resources in the United States. The additional funding will allow the Company to continue advancing the construction readiness of the Stibnite Gold Project and support the environmental and technical studies related to the Project’s progress through the National Environmental Policy Act (“NEPA”) review process, led by the United States Forest Service (“USFS”).

Under the modified TIA, Perpetua may request reimbursement for certain costs incurred through June 30, 2025 related to environmental baseline data monitoring, environmental and technical studies and other activities related to advancing Perpetua’s construction readiness and permitting process for the Stibnite Gold Project. The DPA funding does not interrupt the ongoing NEPA review.

On January 1, 2024, the U.S. Forest Service (“USFS”) released an updated schedule for the Project. Based on the updated schedule, the Company anticipates that the USFS will publish a Final Environmental Impact Statement (“FEIS”) and a Draft Record of Decision (“DROD”) in the second quarter of 2024 and a Final Record of Decision (“ROD”) in the fourth quarter of 2024. Permitting and Construction Readiness Activities Update:

Following completion of the public comment period and analysis on the Supplemental Draft Environmental Impact Statement (“SDEIS”), the United States Forest Service updated the permitting schedule for the Project with a Final Environmental Impact Statement (“FEIS”) and draft Record of Decision (“ROD”) expected by the end of 2023 and a final ROD anticipated in early 2024.

Perpetua continued to advance work on several ancillary permits which are being progressed in parallel with the NEPA process. Recent updates include:

  • Submitted the 404 Wetlands & Compensatory Mitigation Plan application to the U.S. Army Corps of Engineers (“USACE”) in April 2023 and USACE provided a 404 permit application completeness determination in July 2023.

  • Submitted the formal request to begin the 401 Water Quality Certification process to Idaho Department of Environmental Quality (“IDEQ”) in May 2023.

  • Submitted Tailings Storage Facility (“TSF”) dam safety application to Idaho Department of Water Resources (“IDWR”) in July 2023. IDWR sent a letter of conditional approval for the Company’s Stage 1 TSF in October 2023.

  • Submitted cyanidation permit application in August 2023 to IDEQ. The Company expects to resubmit an updated permit application in the fourth quarter of 2023 following a letter of incompleteness issued by IDEQ in September 2023.

  • A Final Point of Compliance determination was issued in August 2023 and the Company submitted the required groundwater sampling and well installation plans in October 2023.

Perpetua is advancing construction readiness activities which are reimbursable under the DPA funding. To meet this objective, the Company plans to obtain additional core samples from the Project site, conduct a pilot plant study to produce mil-spec antimony trisulfide from the samples, design a full-scale process circuit, and deliver a modular pilot plant for the DoD to use in further investigations.  

Under the OTIA, Perpetua will be reimbursed for these activities on a cost-plus fixed fee basis over the 24-month period of performance. The current estimated amount is $15.5 million, which is subject to adjustment by the DOTC based on scope, costs, budget, or other factors as the program advances. Perpetua will be entitled to reimbursement for all costs incurred under the agreement.

Currently, China, Russia, and Tajikistan control approximately 90% of the world’s antimony supply and the United States has no domestically mined source of the critical mineral. Perpetua plans to re-establish a domestic supply of the critical mineral antimony as a by-product of one of the highest-grade open pit gold resources in the United States.  

DOTC was established to foster innovation in defense technology through collaboration between industry, academia, and government to advance and expand our military technological superiority. The DOTC funding allows the Company to demonstrate the suitability of the Project’s antimony trisulfide concentrate for use in munitions while the Company continues through the ongoing permitting process, led by the United States Forest Service (“USFS”). Mr. Wright has worked on owners’ teams and on Engineering, Procurement and Construction Management teams in the Americas, Europe, Africa and Asia. Permitting and Construction Readiness Activities Update:

Following completion of the public comment period and analysis on the Supplemental Draft Environmental Impact Statement (“SDEIS”), the United States Forest Service updated the permitting schedule for the Project with a Final Environmental Impact Statement (“FEIS”) and draft Record of Decision (“ROD”) expected by the end of 2023 and a final ROD anticipated in early 2024.

Perpetua advanced work on several ancillary permits which are being progressed in parallel with the NEPA process. Recent updates include:

  • Submitted the 404 Wetlands & Compensatory Mitigation Plan application to the U.S. Army Corps of Engineers (“USACE”) in April 2023 and USACE provided a 404 permit application completeness determination in July 2023.

  • Submitted the formal request to begin the 401 Water Quality Certification process to Idaho Department of Environmental Quality (“IDEQ”) in May 2023.

  • Submitted tailings storage facility dam safety application to Idaho Department of Water Resources (“IDWR”) in July 2023.

Perpetua is advancing construction readiness activities which are reimbursable under the DPA funding. In the second quarter of 2023, the Company began project execution planning and scheduling, selected a construction manager general contractor to advance studies and detailed engineering for the road design, and began detailed scoping and engineering for the power line.

The Agreement provides for total payments of $5 million by Perpetua over a four-year period, which includes $4 million of contributions by Perpetua to a South Fork Salmon Water Quality Enhancement Fund to be used by the Tribe to support water quality improvement projects in the South Fork Salmon River watershed and $1 million of reimbursements to the Tribe for legal expenses. The water quality improvement projects will be coordinated with the U.S. Environmental Protection Agency and the U.S. Forest Service and will require additional data collection to choose and define the projects.

Following the 45-day review period, the Tribe and Perpetua will request the District Court to approve the Stipulation for Dismissal and Agreement, which, if approved, would result in the CWA lawsuit being dismissed without prejudice pending Perpetua’s payment of the amounts called for under the Agreement, and with prejudice upon completion of such payments, subject in each case to approval by the District Court.

(collectively, “Perpetua Resources” or “Perpetua” or the “Company”), definitized its previously announced Technology Investment Agreement (“TIA”) of up to $24.8 million under Title III of the Defense Production Act (“DPA”). The funding objective of the TIA, issued by the Air Force Research Laboratory, is to complete environmental and engineering studies necessary to obtain a Final Environmental Impact Statement, a Final Record of Decision, and other ancillary permits to sustain the domestic production of antimony trisulfide capability for defense energetic materials.

Antimony trisulfide is essential to national defense as a key component for munitions yet there is no U.S. mined supply. Perpetua plans to re-establish a domestic supply of the critical mineral antimony as a by-product of one of the highest-grade open pit gold resources in the United States. The DPA funding allows the Company to advance the construction readiness of the Stibnite Gold Project while the Company continues through the ongoing permitting process, led by the United States Forest Service (“USFS”).

Under the funding agreement, Perpetua may request reimbursement for certain costs incurred over 24 months related to environmental baseline data monitoring, environmental and technical studies and other activities related to advancing Perpetua’s construction readiness and permitting process for the Stibnite Gold Project. The DPA funding does not interrupt the ongoing National Environmental Policy Act (“NEPA”) review process. On July 25, 2023, the TIA was definitized with the Department of Defense, establishing the full not-to-exceed amount of $24,812,062. The definitized TIA did not change any other material terms of the undefinitized TIA between Perpetua and the Department of Defense, which was previously announced by the Company on December 19, 2022.

Perpetua Resources Begins Next Phase of Cleanup Activities at Historical Mine Site


Perpetua plans to relocate more than 300,000 tons of legacy mine waste to improve water quality.

Safe and successful mobilization of equipment and personnel marks the beginning of 2023 cleanup activities.

(Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) and Iron Woman Construction and Environmental Services (“Iron Woman”) successfully mobilized teams and equipment to site this week for the next round of voluntary legacy waste cleanup and water quality improvements in the historical Stibnite Mining District. This summer, Iron Woman has been engaged to help Perpetua Resources move more than 300,000 tons of legacy mine waste away from sensitive waterways on site and relocate it to areas where it can be more safely stored.

“Legacy restoration is a key pillar of our vision for Stibnite, and we believe our early cleanup work shows that responsible partnership with private industry can help improve environmental conditions at historical mine sites,” said Laurel Sayer, CEO of Perpetua Resources. “Last summer, we made significant progress and we look forward to building upon that success with the help of Iron Woman and the many local contractors and employees coming to Stibnite this summer."

Early mobilization included transporting dump trucks, loaders, office trailers, water tanks and reclamation supplies into Stibnite via Warm Lake Road and Johnson Creek Road. In accordance with Perpetua's transportation best practices, oversized loads and sensitive loads were escorted to site with pilot cars. Equipment will stay at Stibnite until early fall, when this phase of work is expected to be complete.

“Safety is not something that happens by chance,” said Sayer. “It requires constant planning, relentless dedication, and accountability. When it comes to safety, we hold our team to the highest standards because our community deserves nothing less and we expect the same from our partners. We also ask for the community’s support and encourage people in the area to be mindful on the roadways near Stibnite this summer.”

Cleanup efforts will center around removing legacy mine waste from three areas of site that parallel the East Fork of the South Fork of the Salmon River. The locations of the work sit outside the footprint of Perpetua’s proposed Stibnite Gold Project and would be left untouched if it wasn’t for the Company’s voluntary cleanup efforts. A crew of approximately 30 individuals will be based at site in a pre-existing exploration camp to reduce the need for daily commuting.

Cleanup activities this summer will be overseen by the U.S. Environmental Protection Agency and the U.S. Department of Agriculture.

Perpetua Resources and Nez Perce Tribe Reach Agreement in Principle under the Clean Water Act


BOISE, ID – Perpetua Resources Corp. “Perpetua Resources began 2023 with positive momentum starting with the robust support we received for our Project through the SDEIS public comment period and the USFS providing further clarity on the path and timeline to a Final EIS and Draft Record of Decision, which are expected late this year,” said Laurel Sayer, President and CEO of Perpetua Resources. “We also started to receive reimbursements from the Department of Defense for certain expenses as we continue through the permitting process and advance construction readiness for our Project. Permitting Update:

After nearly two years of review of the Modified Mine Plan by the USFS and other agencies, the SDEIS was published on October 28, 2022 for a 75-day public comment period. In the SDEIS, the USFS highlights the net positive environmental outcomes that the Stibnite Gold Project can provide to the abandoned mine site based on the results of comprehensive scientific analysis conducted over the last six years. The USFS identified Perpetua Resources’ proposed action, the “Modified Mine Plan,” as the Preferred Alternative and also concluded the Preferred Alternative would reasonably accomplish the purpose and need for consideration of approval of the Stibnite Gold Project, while giving consideration to environmental, economic, and technical factors. Under NEPA, a “Preferred Alternative” is identified by a Federal agency in a DEIS to let the public know which action the agency is leaning toward selecting as final.

The SDEIS public review period closed on January 10, 2023. Following completion of the comment period and analysis, the USFS updated the permitting schedule for the Project with a FEIS and DROD expected by the end of 2023 and a final ROD anticipated in early 2024. To finalize the FEIS and DROD by the end of 2023, the USFS is preparing responses to the letters received on the SDEIS and coordinating with state and federal agencies to conclude remaining environmental modeling and impact analysis. The Company also advanced work on several ancillary permits in the first quarter of 2023, which are being progressed in parallel with the NEPA process.

(Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) announced today it selected Iron Woman Construction and Environmental Services (“Iron Woman”) to conduct environmental improvements in the historical Stibnite Mining District in 2023. Iron Woman is a Native American Member-owned company with extensive experience resolving water infrastructure, environmental, mining and logistics challenges across the Rocky Mountains, including Idaho. Beginning in early summer 2023, Iron Woman will support Perpetua Resources to move over 300,000 tons of legacy mine waste away from sensitive waterways on site and continue efforts to restore impacted riparian areas.

In 2021, Perpetua was granted permission from the Environmental Protection Agency (“EPA”) and the United States Department of Agriculture (“USDA”) to conduct time critical early action cleanup activities at the abandoned Stibnite mine site. Cleanup work under the first phase of the agreement started in 2022 and, after a competitive bidding process, Iron Woman was selected by Perpetua Resources to help with cleanup activities planned for 2023. Work this year will include removing between 300,000 and 325,000 tons of legacy waste and tailings away from rivers on-site, safe storage of the material, and significant restoration work surrounding the rivers. Cleanup activities will be overseen by the EPA and USDA.

Iron Woman is expected to start work in June 2023 with a team of over 30 people, largely recruited from the local region, focused on removing waste from three areas of site that parallel the East Fork of the South Fork of the Salmon River. The locations of the work sit outside the footprint of Perpetua’s proposed Stibnite Gold Project and would be left untouched if it wasn’t for the Company’s voluntary cleanup efforts. While the multidisciplinary general contractor already has a highly trained workforce, Iron Woman intends to actively recruit from the communities closest to the site to fill any openings on the project. The Iron Woman team will be based at site in a pre-existing exploration camp to eliminate the need for daily commuting.

U.S. Forest Service Sets Final Stage of Permitting for Stibnite Gold Project

BOISE, ID – Perpetua Resources Corp. (Nasdaq: PPTA / TSX: PPTA) (“Perpetua Resources” or “Perpetua” or the “Company”) today announced that the United States Forest Service (“USFS”) has updated the National Environmental Policy Act (“NEPA”) permitting schedule for the Stibnite Gold Project (“Project”) with a Final Environmental Impact Statement (“FEIS”) and draft Record of Decision (“DROD”) expected by the end of 2023 and a final Record of Decision (“ROD”)  anticipated in early 2024.

“We are pleased to have reached this critical juncture, which provides clarity on the path and timeline to a Final EIS and Draft Record of Decision after a successful comment period on our improved project plan and the U.S. Forest Service identifying our project as the Preferred Alternative," said Laurel Sayer, President & CEO of Perpetua Resources. “Recognizing the critical role of domestic antimony to national security, our eyes are firmly set on these key milestones and our readiness to develop the Stibnite Gold Project as a national strategic asset and opportunity to restore this abandoned site.” 

In January 2023, the U.S. Forest Service completed a 75-day public comment period on the Supplemental Draft Environmental Impact Statement (“SDEIS”). The SDEIS identified Perpetua’s Modified Mine Plan as the Preferred Alternative and concluded that the plan provides a net increase in available fish habitat, greatly reduces the volume and duration of long-term water treatment required, provides measurable improvements to existing water quality conditions, and improves stream temperatures across the majority of the abandoned mine site as compared to the earlier project design. Under NEPA, a “Preferred Alternative” is identified by a federal agency in a Draft Environmental Impact Statement to let the public know which action the agency is leaning toward selecting as final.

To finalize the FEIS and DROD by the end of 2023, the U.S. Forest Service is preparing responses to the letters received on the SDEIS and coordinating with state and federal agencies to conclude remaining environmental modeling and impact analysis. Once published, the FEIS and DROD will reflect seven years of inter-agency NEPA analysis which includes 195 days of formal public review and comment, over 29,000 public letters, and analysis for 6 action alternatives. During these seven years, Perpetua has demonstrated unwavering dedication to engaging the community and other stakeholders in the process and plans, including independently hosting 79 webinars, 64 office hours, and 760 sessions with the public to gather feedback, make improvements, and answer questions on the Project.

Perpetua’s work toward a final Record of Decision in early 2024 is supported with funding received through the U.S. Department of Defense from a Defense Production Act (“DPA”) Title III award of up-to $24.8 million directed by the Department of Defense to ensure the timely development of a domestic source of antimony trisulfide for the production of small arms, medium caliber cartridges and many other missile and munition items. Antimony from the Stibnite Gold Project is the sole domestic geologic reserve of antimony that can meet Department of Defense requirements.

The Stibnite Gold Project is designed to responsibly redevelop and restore an abandoned mine site as a world-class gold mine and only domestic mined source of antimony while contributing to the economic success of Idaho.
